lol i found the probelm right after i posted
for any one else having the problem: 1. go to c:\program files\java\(your old version[my case j2re1.4.2])\lib\ext 2. copy the xerces.jar file to c:\program files\java\(your new version[my case j2re1.4.2_04])\lib\ext that worked for me

make sure to uninstall any old versions before installing a new version of java
